IMAGE AND LIKENESS RELEASE

I hereby grant to Ensmbl, Inc. (“Company”) and to Company’s affiliates, subsidiaries, successors, and assigns an irrevocable, perpetual, royalty free, unrestricted, sublicensable right and license to use, reproduce, and reuse my image, name, likeness, voice, spoken words, signatures, written statements, recordings of my image or voice (interchangeably and collectively, “Likeness”), whether alone or together with other materials, anywhere in the world for purposes of promoting, advertising, commercializing, or otherwise distributing information about or within products, website, applications, or services offered by Company or its affiliates, subsidiaries, successors, or assigns.

I understand and agree that my Likeness may be used, reproduced, and distributed in any form or through any media whatsoever, including, without limitation, photographs, illustrations, pictures, video recordings , audio recordings, audio-visual recordings, electronic recordings, film recordings, Internet streaming, recordings, social media, downloadable and non-downloadable applications, websites, webpages, and any media now known or hereafter to be developed, or with any intentional or unintentional alterations or distortions, for publicity, art, promotion or other commercial or exploitative purposes in connection with Company’s business (collectively, the "Media").  I understand and agree that I have no right to inspect or approve the use of the Media.

I hereby knowingly and voluntarily release and forever discharge Company and its present and future agents. assignees, officers, directors, shareholders, managers, members, employees, parents, subsidiaries and affiliates, including, without limitation, any firm producing, marketing, publishing or distributing Company’s products or services from any and all claims, liabilities, and damages arising as a result of any use of my Likeness in any medium, including but not limited to my Likeness being blurred, distorted, or edited, from someone else's voice being used with my picture or likeness, or my voice being used with someone or something else's picture or likeness.  I waive any and all Moral Rights related to my Likeness as it is used pursuant to this release. I understand and agree that this release is and will be binding on me and my respective heirs, executors, licensees, legal representatives and assigns.

I understand I am granting the Company the right to transfer, assign, license, and sub-license the rights granted to it under this release to third parties, in whole or in part, for a fee or free of charge, without requiring my consent and without notice to me.

I represent and warrant that I am at least 18 years of age and have the right to grant the above rights to Company and that no rights of third parties are affected by this release or conflict with the rights granted to Company under this release. 

This release will be governed by the laws of the State of Oregon without regard to conflict of law principles. 

 

Electronic signatures and copies of signatures transmitted by electronic means will be treated as original signatures.
